SERVICE AGREEMENT
TERMS AND CONDITIONS
1. Maximum Internet Services of Minnesota, Inc. (COMPUEASY) reserves the right to
change the rates and otherwise modify this agreement upon thirty (30) days notice to you.
Use of COMPUEASY Internet Service after the effective date constitutes acceptance of the
new Terms and Conditions.
2. All COMPUEASY Network Internet access accounts are defined as follows:
- Non-Dedicated Dial-up Connection
Defined as a client based single-user attended access account. Attended access is defined
as interactive use of an established Internet connection by the account holder.
Interactive use requires the physical presence of the account holder; in other words,
attended access. Single-user is defined as one concurrent login per access account holder.
Multiple concurrent logins for a single-user account will be considered a request for an
additional Internet access account and will be billed accordingly. Use of a non-dedicated
dial-up connection for the purpose of running any type of Internet server (Web, Chat, FTP,
etc.) is expressly prohibited.
- Dedicated Connection
Defined as client and/or server based multi-user attended or unattended access account. A
dedicated Internet access account connection may be utilized for the purpose of running
Internet servers, such as Web, Chat, FTP, etc.
- Business Accounts
Defined to be any account held by a Sole Proprietor, Partnership, Corporation, or any
other entity engaged in an ongoing "Business Enterprise"
- Personal Accounts
Defined as an account held by an individual for personal use, research, and recreation.
.Personal Use Accounts receiving storage space for a Personal Web Page are subject to
certain use restrictions for said personal page. A Personal page may be used for personal
Internet distribution of subscriber's personal information such as: bio, resume, privately
owned items for sale, hyperlinks to favorite Web locations, and information to let the
world know who you are and what you think. A Personal Page, other than for personal
recommendations, may not be used for any business related activities such as: advertising,
sales, marketing, promotions, posting information for other individuals or businesses,
software FTP site, any illegal activity, and any other activities prohibited by
COMPUEASY's terms and conditions.
All account activations require the disclosure of intended use, be it business or
personal, and any account misrepresentation shall be cause for immediate termination.
Unless otherwise expressly provided by written contract, the resale, transfer, or
trade of any COMPUEASY Account and/or Services is strictly prohibited. Inquiries regarding
"Accounts for Resale" should be directed to the COMPUEASY Sales Manager.
3. Although we don't enforce strict time limits, there is no line camping allowed. Line
Camping is considered to be the same as having dedicated access. We at COMPUEASY will be
the sole judges of infractions and written and/or email notification of said infractions
will be made to the account(s) causing this disruption. If this behavior persists, the
accounts(s) will be billed as Dedicated Access, upon notice.
4. Customer is solely responsible for any and all local or long-distance telephone
charges for connecting directly to COMPUEASY network or indirectly via any access broker
or access intermediary. It is the sole responsibility of the customer to determine if the
provided COMPUEASY access telephone number(s) will be a local telephone call.
5..Customer agrees to pay COMPUEASY all charges relating to use of Customer's
Account(s). Customer acknowledges that there is a 30 day minimum subscription period,
which means no full or partial refund of the initial month's service fee and activation
fee will be given if service is canceled within the initial 30 day subscription period.
Additionally, all cancellations become effective at the end of the current billing period.
6. All accounts will be billed on either a monthly, Semi-Annual or yearly basis. The
billing period begins on the first or the fifteenth of the month. A billing statement is
issued for that month's service fees plus, depending on the type of account you have, any
surcharges incurred during the previous month. All invoices are due and payable upon
receipt. Payment must be received within ten (10) days of the billing date. If payment
is not received within ten (10) days of the billing date, the account may suspended
until payment is received. There is a $25.00 fee for any check with insufficient funds.
Accounts will be suspended immediately for a returned check. Such interruption will
not relieve you from the obligation to pay COMPUEASY's monthly charges. Only a written
request to COMPUEASY to terminate your service will relieve you of your obligation to pay
COMPUEASY's monthly charges. Accounts in default are subject to current reconnection fees.
If you default, you agree to pay COMPUEASY its reasonable expenses, including attorneys
and collection agency fees, incurred in enforcing its rights.
7. If you have any questions about COMPUEASY or need additional information, send

staff is small and usually available during and beyond those hours, but we're not always
able to answer the phone. If you call and get the answering machine, please leave a
message.
Our business is providing connectivity. We help you get connected to the Internet, and
stay connected through the most reliable, secure system we can provide. We'll help you
find the software and help you get it up and running. In the event that you have
difficulty connecting to our system, we'll verify that our network and modems are
operating as they should and make every effort to help you. If you have questions about
your software, modem or computer as they relate to our system, don't hesitate to ask us.
Questions or problems about your software, modem or computer which don't relate to our
system (for example: general usage, features they do or don't come with, their
compatibility with other programs on your computer) should be directed to technical
support for that particular package or product.
8. Customer is responsible for all equipment and software necessary to connect to
COMPUEASY network. COMPUEASY offers both complimentary and fee-for-service Internet
connection support for all active subscribers.
9. You can choose any username as long as there are no duplicates in the username list
and subject to technical limitations of the system. Your username will always appear in
your newsgroup postings and sending of electronic mail. Your username is your
"login" authorization. Your username will be shown in system utilities.
10. COMPUEASY's Internet services are provided on an as is basis. There
are no warranties expressed or implied, including those of merchantability and fitness for
a particular purpose with respect to the COMPUEASY service, any software or material
provided to the customer. The customer is responsible for implementing sufficient
procedures and checkpoints to satisfy its requirements for accuracy of data input and
output and maintaining a means external to the COMPUEASY Internet service for the
reconstruction of any lost data.
11. COMPUEASY Internet service is not responsible for service interruptions beyond its
control, including acts of God or service interruptions by its suppliers. From time to
time, the system may be down for routine maintenance. Advanced notice will be given when
possible.
12. COMPUEASY Internet service may only be used for lawful purposes.
Transmission or storage of any material in violation of any Federal, state, or local law
or regulation is prohibited. This may include, but is not limited to, copyrighted
material, materially legally judged to be threatening or obscene, or material protected by
trade secret. You agree to indemnify and hold harmless COMPUEASY from any and all losses,
claims, damages and expenses, including attorneys fees, that result from or that are
alleged to result from your use of COMPUEASY's services.
13. Information available on COMPUEASY network is the property of COMPUEASY, its
Information Providers, or other Customers. Customer shall not redistribute, reproduce, or
commercially exploit such information without express written permission of its owner.
14. Information Providers shall have the right to assert and enforce such copyright
provisions directly on their own behalf.
15..Customer submitting information owned by Customer for distribution on COMPUEASY
network grants COMPUEASY non-exclusive permission to distribute the information product
worldwide. Customers retain all rights Customer may have to such information and should
expressly state such rights in conjunction with said information.
16. Any access to other networks or systems through COMPUEASY's Internet service must
comply with applicable rules of that service.
. Use of COMPUEASY Network for bulk and/or unsolicited email, commercial or otherwise,
is prohibited. Bulk email is defined as the same or similar email message sent to more
than 25 recipients. COMPUEASY offers email list server services for bulk distribution of solicited
email materials.
Use of the COMPUEASY NNTP news server for software distribution, cross-posting messages
to more than 10 news groups, and the posting of off-topic messages to newsgroups is
prohibited.
The use of programs such as packet sniffers, host and/or service monitoring, and other
similar programs is forbidden. COMPUEASY monitors all network services around the clock.
17. ACCESS TO CERTAIN MATERIALS THROUGH COMPUEASY. COMPUEASY provides a means of
access to information that includes information generally available through the Internet,
and COMPUEASY exercises no control whatsoever over the content of the information that can
be accessed through its services. Use of any information obtained through COMPUEASY's
services is at your own risk. By subscribing to COMPUEASY's services, you request access
to all information provided through the Internet. Certain information that can be accessed
on the Internet through COMPUEASY is inappropriate for minors, and may be offensive to
you. Because COMPUEASY does not control the content of the information that is available
on the Internet, COMPUEASY cannot ensure that inappropriate or offensive material will not
be available to you or others, including minors, whom you may allow to access Internet
through your account, and it is your responsibility to exercise control over such access.
18. Customer is hereby warned that some Internet sites accessible via COMPUEASY network
allow posting, retrieval, and/or electronic mailing of materials that may be considered
obscene or objectionable. COMPUEASY is not responsible for inadvertent or deliberate
access to such material and cannot prevent access of such material. It is recommended that
each customer closely monitors use of his/her account especially in the case of potential
use or misuse by minor children. Accounts for minor children must be opened by a parent or
legal guardian.
19. COMPUEASY at its sole discretion and judgment may immediately suspend Customer's
access to the service upon any breach of any of the Terms and Conditions by Customer,
including, but not limited to, refusal or failure to pay for services provided or
disruptive on-line behavior.
20. COMPUEASY reserves the right to disconnect non-dedicated dial-up connections with
inactivity for more than30 minutes ("time-out").
21. COMPUEASY reserves the right to delete Customer's personal files for which a
storage fee has not been paid and which have not been accessed for more than one (1)
month.
22. It is recognized that the Internet may contain viruses which may, if not eliminated,
destroy parts or all of the data contained in your computer. COMPUEASY has no control over
these viruses. COMPUEASY does not provide any filtering or checking of data to eliminate
these viruses. You agree to provide your own mechanism for checking your computer system
for viruses and hold COMPUEASY, its affiliates, subsidiaries, and suppliers faultless for
any damage caused by viruses obtained through the Internet. Further you agree not to
introduce, knowingly or unknowingly, any virus onto the internet system or COMPUEASY
hosts. Further you hold COMPUEASY, its affiliates, subsidiaries, or suppliers harmless
from, and to indemnify COMPUEASY, its affiliates, subsidiaries, or suppliers for, any
damages resulting from any viruses, software bugs introduced by you into the Internet or
COMPUEASY systems.
23. Information transmitted through COMPUEASY and through the Internet in general is
not confidential. Therefore, COMPUEASY can not and will not guarantee privacy or
protection of any user. We reserve the right to monitor any user's transmissions when
deemed necessary for providing proper service and/or to protect the rights and property of
our company. We will not disclose any information about any User unless required by court
order, subpoena or other legal request, or upon the advice of counsel.
24. The customer agrees to protect and treat all COMPUEASY's confidential and
proprietary information, including access codes and ID's provided by COMPUEASY for its
systems. Sharing of ID's/accounts is expressly forbidden. If a customer believes his
access ID/password has been compromised, immediate email or telephone notification must be
provided to COMPUEASY. The customer may be held responsible for all acts/communications
initiated or authorized by that account ID until receipt by COMPUEASY Internet services.
25. Both parties agree to accept electronic mail as legally binding documentation for
billing and notification purposes.
26. These Terms and Conditions represent the entire agreement between you, the
subscriber, and COMPUEASY, and supersedes all prior oral or written agreements and
understandings between the subscriber and COMPUEASY. These Terms and Conditions shall be
governed and interpreted in accordance with the laws of the State of Minnesota, United
States of America. Any claims or causes of action arising out of or related to this
agreement must be instituted with one (1) year after the claim or cause of action has
arisen or be barred.
